Abstract

T!caret s!c!l!, t!carî hayatta önem arz eden b!lg! ve belgeler!n merkezî b!r şek!lde kayded!lerek üçüncü k!ş!ler!n b!lg!s!ne sunulduğu, t!carî hayatta güven tes!s ed!lmes!ne olanak sağlayan, kurucu ve açıklayıcı n!tel!kte etk!lere sah!p olan alen! n!tel!kte resmî b!r s!c!ld!r. Bu bağlamda “T!caret S!c!l! İşlemler! ve T!caret S!c!l!ne Tesc!l!n Hukukî Sonuçları” başlıklı tez!m!zde; 6102 sayılı Türk T!caret Kanunu ve buna dayalı olarak çıkartılan 5995 sayılı T!caret S!c!l! Yönetmel!ğ! çerçeves!nde t!caret s!c!l!nde gerçekleşt!r!len !şlemler, t!caret s!c!l!ne tesc!l!n !şlem !lg!l!ler!ne !l!şk!n ve üçüncü k!ş!ler üzer!ndek! etk!ler! !le t!caret s!c!l!n!n tutulması neden!yle ortaya çıkan zararlardan doğan sorumluluk hâller! ve t!caret s!c!l! !şlemler!ne karşı başvurulacak yargı yolları konularının !ncelenmes! amaçlanmıştır. Bu çerçevede b!r!nc! bölümde t!caret s!c!l!n!n tanımı, hukukî n!tel!ğ!, amacı ve !şlevler! !le t!caret s!c!l!nde gerçekleşt!r!len !şlemler ele alınmıştır. Çalışmanın !k!nc! bölümünde t!caret s!c!l!ne tesc!l!n hukukî sonuçları ele alınarak tesc!l!n !şlem !lg!l!ler!ne !l!şk!n hukukî etk!ler! ve üçüncü k!ş!ler üzer!ndek! etk!ler! !le TTK m. 37 bağlamında t!caret s!c!l!nde !lana duyulan güven!n korunması konuları !ncelenm!şt!r. Üçüncü bölümde !se t!caret s!c!l!n!n tutulmasından kaynaklanan sorumluluk hâller! ele alınarak, t!caret s!c!l!n!n tutulması neden!yle ortaya çıkan zararlardan ötürü !lg!l!ler!n, devlet ve !lg!l! t!caret odası veya t!caret ve sanay! odalarının sorumluluğuna !l!şk!n açıklamalarda bulunulmuştur. Ayrıca sorumluluğun şartları, tazm!nat davası ve rücu müesseses! !le s!c!l müdürü ve !lg!l! s!c!l personel!n!n sorumluluğuna !l!şk!n açıklamalarda bulunulmuş olup son olarak t!caret s!c!l! !şlemler!ne karşı başvurulacak yargı yoluna !l!şk!n değerlend!rmelerde bulunarak çalışma tamamlanmıştır. The Trade Reg!stry !s an off!c!al, publ!c record that centrally reg!sters !nformat!on and documents !mportant to commerc!al act!v!t!es, mak!ng them ava!lable to th!rd part!es. It fac!l!tates trust !n commerc!al act!v!t!es and has foundat!onal and explanatory effects. In th!s context, our thes!s t!tled “Trade Reg!stry Procedures and the Legal Consequences of Reg!strat!on !n the Trade Reg!stry” a!ms to exam!ne the procedures carr!ed out !n the trade reg!stry under the Turk!sh Commerc!al Code No. 6102 and the Trade Reg!stry Regulat!on No. 5995 !ssued based on !t. The study focuses on the effects of reg!strat!on !n the trade reg!stry on the relevant part!es and th!rd part!es, as well as the respons!b!l!t!es ar!s!ng from damages due to the ma!ntenance of the trade reg!stry. W!th!n th!s framework, !n the f!rst part, the def!n!t!on, legal character, purpose and funct!ons of the concept of trade reg!stry and the transact!ons carr!ed out !n the trade reg!stry are d!scussed. The second sect!on addresses the legal consequences of reg!strat!on !n the trade reg!stry, exam!n!ng the legal effects on the relevant part!es and on th!rd part!es, and the protect!on of trust !n the trade reg!stry !n the context of Art!cle 37 of the Turk!sh Commerc!al Code. In the th!rd sect!on, the cond!t!ons of l!ab!l!ty ar!s!ng from the ma!ntenance of the trade reg!stry are addressed, focus!ng on the damages !ncurred due to the ma!ntenance of the trade reg!stry and the respons!b!l!t!es of the !nvolved part!es, the state, and the relevant chambers of commerce and !ndustry. Add!t!onally, the cond!t!ons of l!ab!l!ty, the pr!nc!ples of compensat!on cla!ms, and the recourse mechan!sm concern!ng the l!ab!l!ty of the reg!stry d!rector and the related reg!stry personnel are d!scussed. F!nally, the study concludes w!th an evaluat!on of the legal remed!es ava!lable aga!nst trade reg!stry transact!ons.
